Elme Communities

Founded in 1960, Elme Communities (formerly known as WashREIT) was the first Real Estate Investment Trust (REIT) in the United States.

More recently, we observed a consistently underserved segment within the multifamily landscape —the value-conscious renter— and set about streamlining our portfolio to focus on this type of residential living. Firm in our belief that straight-forward communication, respectful service, and well-maintained communities are deserved by all—not those within a certain price point—we set out to elevate the value living experience.

On August 4, 2025, Elme Communities announced that its Board of Trustees had completed its previously announced formal evaluation of strategic alternatives to maximize shareholder value and after an extensive evaluation of strategic alternatives available, the Company entered into a Purchase and Sale Agreement (the “PSA”) for the sale of 19 multifamily properties (the “Portfolio Sale Transaction”).

In connection with the PSA, the Elme Board of Trustees approved a plan of sale and liquidation (the “Plan of Sale and Liquidation”), which contemplated the sale or disposition of all the Company’s assets, including the Company’s nine (9) remaining multifamily assets and its ownership interest in the property known as Watergate 600, the wind-down of the Company’s business and affairs and the termination of the Company’s existence by voluntary dissolution.

On October 30, 2025, our shareholders approved the Portfolio Sale Transaction and the Plan of Sale and Liquidation, and on November 12, 2025, Elme completed the Portfolio Sale Transaction.

As of September 30, 2026, the Company has now completed the disposition of all ten of its remaining properties. On September 29, 2026, the Company issued a press release announcing that, in accordance with the Plan of Sale and Liquidation, following delisting from the NYSE as described above, the Company intends to terminate its existence by voluntary dissolution, effective November 6, 2026. The press release also announced that prior to such dissolution, the Company intends to transfer all of its remaining assets and liabilities to a Maryland liquidating trust.
